Terms and Conditions for SEO Services Effemey Cosby Advertising Limited

These Terms and Conditions (“Agreement”) govern the provision of SEO (Search Engine Optimisation) services by Effemey Cosby Advertising Limited ("we", "our", "us") to you ("Client", "your"). By engaging our services, you agree to be bound by this Agreement.

1. Services Provided
Effemey Cosby Advertising Limited will provide SEO services, including but not limited to on-page optimisation, link building, keyword research, content creation, and technical SEO audits. The scope of services will be outlined in the service proposal or contract provided to the Client.

2. Responsibilities of Effemey Cosby Advertising Limited
We will perform the SEO services using our best efforts, skill, and expertise. However, due to the nature of SEO and search engine algorithms, we do not guarantee specific rankings or results.

3. Client Responsibilities
The Client agrees to provide timely access to any website information or documentation necessary for us to perform the SEO services, including but not limited to website admin access, hosting credentials, and analytics data. The Client is responsible for providing accurate, current, and complete information and ensuring that the content provided does not violate any third-party rights.

4. Payment Terms

• The Client agrees to pay the fees for the SEO services as outlined in the proposal or contract.

• Payments are due on a monthly basis unless otherwise specified.

• Late payments may incur a late fee or interest charge per month.

• Effemey Cosby Advertising Limited reserves the right to pause or terminate services if payments are overdue.

5. Intellectual Property Rights
Any materials or content created by us for SEO purposes, such as blog posts, metadata, or infographics, remain the intellectual property of Effemey Cosby Advertising Limited until full payment is received. Upon full payment, the Client will have ownership rights to all deliverables.

6. Confidentiality
Both parties agree to maintain confidentiality regarding any proprietary or sensitive information exchanged during the course of this Agreement. This includes any technical, business, or financial information that is not publicly available.

7. Performance Disclaimer
Due to the complex and changing nature of search engine algorithms, Effemey Cosby Advertising Limited cannot guarantee:

• Specific rankings on search engines (such as Google, Bing, etc.).

• Any increase in website traffic, leads, or revenue. We will, however, use reasonable efforts to improve your website’s visibility according to the agreed scope of work.

8. Term and Termination

• This Agreement will continue until either party provides a 30 day written notice of termination.

• If the Client terminates the agreement before the completion of the agreed service term, the Client remains responsible for payment of any outstanding fees up to the date of termination.

• Effemey Cosby Advertising Limited reserves the right to terminate services immediately if the Client violates any part of this Agreement, including but not limited to non-payment or providing false information.

9. Limitation of Liability
Effemey Cosby Advertising Limited shall not be liable for any indirect, incidental, or consequential damages arising out of the provision of SEO services. Our total liability for any claims arising under this Agreement shall be limited to the amount paid by the Client in the previous three months for the specific services giving rise to the claim.

10. Indemnity
The Client agrees to indemnify and hold Effemey Cosby Advertising Limited harmless from any claims, damages, losses, or legal fees arising from the use of the Client’s website or content, except where caused by our negligence or breach of this Agreement.

11. Governing Law
This Agreement shall be governed by and construed in accordance with the laws of England and Wales, without regard to its conflict of laws provisions. Any disputes arising under this Agreement shall be subject to the exclusive jurisdiction of the courts of England and Wales.

12. Force Majeure
Effemey Cosby Advertising Limited shall not be liable for any delay or failure to perform its obligations under this Agreement if such delay or failure results from circumstances beyond its reasonable control, including but not limited to acts of God, war, strikes, or other industrial action.

13. Amendments
Effemey Cosby Advertising Limited reserves the right to modify these Terms and Conditions at any time. Any changes will be communicated to the Client in writing, and continued use of our services will be considered acceptance of the revised terms.

14. Entire Agreement
This Agreement constitutes the entire understanding between the parties regarding the SEO services and supersedes any prior agreements or understandings, whether written or oral.
